1. Acceptance of Terms

These Terms of Service ("Terms") govern your access to and use of the Harvest Strain platform, website, and services (collectively, the "Service") operated by GeoShepard, Inc. ("Company," "we," "us," or "our"), a Colorado corporation.

By creating an account or using the Service, you agree to be bound by these Terms. If you are using the Service on behalf of a business, you represent that you have authority to bind that business to these Terms. If you do not agree, do not use the Service.

2. Eligibility

To use the Service, you must:

• Be at least 21 years of age
• Operate a licensed cannabis business in a jurisdiction where cannabis is legal under applicable state and/or local law
• Have the legal authority to enter into these Terms
• Not be located in a jurisdiction where use of the Service would violate applicable law

We reserve the right to verify your license status and refuse or terminate service to any operator who cannot demonstrate valid licensure upon request.

3. Description of Service

Harvest Strain provides an AI-powered website creation and management platform for licensed cannabis operators. The Service includes:

• AI-Generated Websites: Custom websites built from your brand materials, content, and business information
• AI Chatbots: Public-facing and internal knowledge chatbots powered by your uploaded content
• Automated Blog Content: AI-generated blog posts based on your brand and industry topics
• Lead Capture: Contact forms and chatbot-driven lead collection
• Analytics Dashboard: Traffic, engagement, and performance metrics
• Knowledge Base: Document upload and RAG-powered search for your team

4. Accounts & Registration

• You must provide accurate, complete registration information and keep it updated.
• You are responsible for maintaining the confidentiality of your account credentials.
• You are responsible for all activity under your account.
• You must notify us immediately of any unauthorized access at security@harveststrain.com.
• We may suspend or terminate accounts that violate these Terms or pose a security risk.

5. Subscription & Payments

5.1 Plans & Pricing

The Service is offered on a monthly subscription basis. Current plans and pricing are displayed on our website. We reserve the right to change pricing with 30 days' written notice.

5.2 Billing

Subscriptions are billed monthly in advance. Payment is due on the date your subscription begins and on each monthly anniversary thereafter. Failed payments may result in service suspension after a 7-day grace period.

5.3 Refunds

Subscription fees are non-refundable except where required by law. If you cancel mid-cycle, your access continues through the end of the current billing period.

6. Your Content & Data

6.1 Ownership

You retain ownership of all content you provide to the Service, including brand materials, logos, documents, product information, and other business content ("Your Content"). AI-generated content (websites, blog posts, chatbot responses) created by the Service for your account is owned by you.

6.2 License to Us

You grant us a non-exclusive, worldwide license to use, process, store, and display Your Content solely for the purpose of providing the Service to you. This license terminates when you delete Your Content or close your account.

6.3 Responsibility for Content

You are solely responsible for the accuracy, legality, and appropriateness of Your Content. You represent that you have all necessary rights, licenses, and permissions to provide Your Content to us.

7. Acceptable Use

You agree not to use the Service to:

• Promote, sell, or facilitate the sale of cannabis to minors or in jurisdictions where it is illegal
• Make medical claims about cannabis products (e.g., "cures," "treats," "prevents" any disease or condition)
• Publish content that violates federal, state, or local advertising restrictions for cannabis
• Upload, transmit, or generate content that is unlawful, defamatory, obscene, or infringes on third-party rights
• Attempt to reverse-engineer, decompile, or extract source code from the platform
• Use the Service to build a competing product or service
• Scrape, crawl, or automated-access the Service beyond normal use
• Interfere with the Service's infrastructure, security, or other users' experience
• Impersonate any person or entity
• Use the Service for any purpose related to unlicensed cannabis operations

We reserve the right to remove content and suspend accounts that violate this policy, with or without notice.

8. AI-Generated Content Disclaimer

The Service uses artificial intelligence to generate websites, blog posts, chatbot responses, and other content. While we strive for accuracy and quality:

• AI-generated content may contain errors, inaccuracies, or outdated information
• You are responsible for reviewing and approving all generated content before publishing
• AI-generated content does not constitute legal, medical, financial, or compliance advice
• We do not guarantee that AI content will meet specific SEO rankings, traffic, or conversion targets
• You should verify all regulatory and compliance claims in generated content against current applicable law

9. Generated Websites

9.1 Hosting

Websites generated by the Service are hosted on our infrastructure. We aim for 99.9% uptime but do not guarantee uninterrupted availability (see Section 12).

9.2 Custom Domains

You may connect a custom domain to your generated website. You are responsible for domain registration, DNS configuration, and renewal. We provide subdomains under harveststrain.com at no additional cost.

9.3 Portability

Upon account cancellation, you may request an export of your generated website's source files. Export requests must be made within 30 days of cancellation. After 30 days, generated websites and associated data will be permanently deleted.

10. Intellectual Property

The Harvest Strain platform, brand, logo, code, design, and documentation are the intellectual property of GeoShepard, Inc. and are protected by copyright, trademark, and other laws. You may not copy, modify, distribute, or create derivative works of the platform itself.

"Harvest Strain," "GeoShepard," "GeoScale," and "GeoTrack" are trademarks of GeoShepard, Inc.

11. Third-Party Services

The Service integrates with third-party providers including OpenAI (AI generation), HubSpot (CRM), and cloud infrastructure services. Your use of these integrations may be subject to the respective third party's terms. We are not responsible for third-party service outages, policy changes, or data handling practices beyond our control.

12. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that the Service will be uninterrupted, error-free, or secure; that AI-generated content will be accurate or suitable for your purposes; or that the Service will meet any specific business outcomes including but not limited to increased traffic, leads, or revenue.

13. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, GEOSHEPARD, INC. AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, BUSINESS, OR GOODWILL, ARISING FROM YOUR USE OF THE SERVICE.

OUR TOTAL LIABILITY FOR ANY CLAIM ARISING FROM THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM.

14. Indemnification

You agree to indemnify, defend, and hold harmless GeoShepard, Inc. from any claims, damages, losses, or expenses (including reasonable attorney's fees) arising from: (a) your use of the Service; (b) Your Content; (c) your violation of these Terms; or (d) your violation of any law or third-party rights, including cannabis regulatory requirements.

15. Termination

• By You: You may cancel your subscription at any time through your dashboard or by contacting us. Access continues through the end of your billing period.
• By Us: We may suspend or terminate your account immediately if you violate these Terms, fail to pay, lose your cannabis license, or if continued service would violate applicable law.
• Effect: Upon termination, your generated website will be taken offline. You may request data export within 30 days. After 90 days, all account data will be permanently deleted.

16. Federal Law Notice

Cannabis remains a controlled substance under United States federal law. While Harvest Strain operates in compliance with state laws where cannabis has been legalized, we make no representation regarding the legality of your business under federal law. You acknowledge and accept all risks associated with operating a cannabis business, including potential federal enforcement actions. The Service does not provide legal advice.

17. Governing Law & Disputes

These Terms are governed by the laws of the State of Colorado, without regard to conflict of law principles. Any dispute arising from these Terms or the Service shall be resolved exclusively in the state or federal courts located in Douglas County, Colorado, and you consent to the jurisdiction of such courts.

18. Modifications

We may modify these Terms at any time by posting the revised version on this page. Material changes will be communicated via email or in-platform notification at least 30 days before taking effect. Your continued use of the Service after changes take effect constitutes acceptance of the revised Terms.

19. Miscellaneous

• Entire Agreement: These Terms, together with our Privacy Policy, constitute the entire agreement between you and us regarding the Service.
• Severability: If any provision is found unenforceable, the remaining provisions remain in effect.
• Waiver: Our failure to enforce any right does not waive future enforcement of that right.
• Assignment: You may not assign these Terms without our consent. We may assign them in connection with a merger, acquisition, or asset sale.
• Force Majeure: We are not liable for delays or failures caused by events beyond our reasonable control.
